Data Protection and Non-Disclosure Agreement

In connection with the Partner’s use of Localbird’s platform and services, the Partner may disclose or provide access to certain proprietary, confidential, or sensitive operational, business, and customer data. This Agreement is established to ensure the absolute protection, confidentiality, and restricted handling of all such data by Localbird.

For purposes of this Agreement, “Confidential Information” includes all data, information, or material provided by the Partner that has or could have commercial value, utility, or sensitivity. This includes, but is not limited to: Partner customer data, guest details, operational metrics, business processes, proprietary configurations, and any data transmitted from the Partner to Localbird systems.

Localbird explicitly agrees to the following stringent data protection mandates regarding the Partner’s Confidential Information:

• No Exportation: Under no circumstances shall any data, systems, or Confidential Information provided by the Partner be exported, downloaded to unauthorized devices, or transferred outside of the secure environment designated for the business relationship.
• Explicit Written Consent for Sharing: Localbird shall not disclose, sell, lease, or share any Confidential Information with any third party unless the Partner provides explicit prior written approval for that specific instance.

Localbird shall limit access to the Partner’s Confidential Information strictly to those employees, contractors, or representatives who require the information to perform specific job functions related to the services.

Mandatory Access Revocation: Localbird guarantees that the moment an employee, contractor, or representative ceases to work with or for Localbird (whether via resignation, termination, or contract expiration), their access to all Partner data and systems will be immediately revoked and terminated.

The obligations of confidentiality and data protection set forth in this Agreement shall survive the termination of the business relationship and shall remain in effect indefinitely. Upon written request from the Partner, Localbird shall promptly destroy or return all data and copies of Confidential Information provided during the relationship, subject to standard automated backup retention policies.
